Bylaws of Bear Lake Promoters

Article I Name & Purpose

Section 1: The name of the organization shall be BEAR LAKE PROMOTERS.

Section 2: The BEAR LAKE PROMOTERS is organized exclusively for the betterment of the Bear Lake area through its efforts to promote and encourage beautification, business development, and community enrichment.

Section 3: The BEAR LAKE PROMOTERS is and always will be a non-profit organization in the State of Michigan. If the BEAR LAKE PROMOTERS organization should dissolve, all assets, and real and personal property will revert to another 50 lc 40rganization in the Bear Lake area that is in existence at that time.

Article 11 MEMBERSHIP

Section 1: Membership shall consist of all dues-paying citizens, business or other organizations with the desire to help promote the Bear Lake area.

Section 2: Dues will be determined by the board. Refer to attached Polices.

Section 3: Any request for money (for non-budged expenses requested from outside the organization or emergencies) of $500 or more must be tabled until the tOllowing meeting, and then must be approved by a majority ofthe members in attendance at that meeting by secret ballot. (Amended 06062012) A special meeting may be called for this purpose if all members are notified no less than 10 days prior to the meeting either by mail or electronic mail.

Article 3: Meetings

Section 1: Annual Meeting The date of the regular annual meeting shall be set by the Board of directors, who shall also set the time and place and publish such information in the monthly newsletter and in the local newspaper.

Section 2: Special Meetings Special meetings may be called by the President or any member of the Board of Directors, with all the Board notified of meetings and with at least three board members attending to make a quorum.

Section 3: Membership Meetings—Notice of each meeting shall be given to the membership via the monthly newsletter. Meetin s will be the first Wednesda of each month at 8:00 a.m.

Article IV Board of Directors

Section 1: Role/Size/Compensation The Board shall oversee the overall policy of the Bear Lake Promoters. The Board shall have up to five members. The Board serves in a voluntar ca acit and as such receives no compensation, other than reasonable expenses incurred.

Section 2: Meetings The Board shall meet at least once a month, at an agreed upon time and place.

Section 3: Board Elections—the Board will consist of the elected officers of the Bear Lake Promoters, who will be elected by the membership on or before the first Wednesday of December of each year. The election results shall be determined by a majority of the members voting at that meeting , either in person or by absentee ballot. Dues will begin January I of the following year.

Section 4: Terms—All board members shall serve two-year terms beginning January I st and are eligible for re-election. No board member shall serve more than 3 consecutive terms in the same office. (Amended 03032010)

Section 5: Officers and Duties—There shall be five officers of the Board from the membership consisting of a President, Vice President, Secretary, Treasurer, and Corresponding Secretary.

The President shall convene regularly scheduled meetings, and shall preside or arrange for other members of the executive committee to preside at each meeting in the following order: Vice President, Secretary, Treasurer, and Corresponding Secretary .

The Vice-President will chair committees on special subjects as designated by the Board.

The Secretary shall be responsible for keeping written records of and assuring that records are maintained. The minutes shall be available at all Board and membership meetings.

The Treasurer shall be responsible for keeping records of all financial matters and submitting monthly and annual reports. The financial records shall be reviewed by a member of the organization other than the treasurer.

The Corresponding Secretary shall provide acknowledgements to those persons who have contributed to the Bear Lake Promoters, and disseminate Promoter activity information as requested.

Article V Committees

Section 1: The President may create committees as needed.

Section 2: The President appoints all committee chairpersons.

Article VI Amendments

Section 1: These bylaws may be amended as necessary.

Section 2: Any proposed amendments must be submitted to the board for majority approval before presentation to the membership.

Section 3: The amendments must be approved by a majority of the membership at that meeting.
